By creating an account, viewing videos, making a purchase or otherwise visiting or using our Services, or by clickwrap agreement, you accept this Agreement and consent to contract with us electronically.

If you are an entity other than a natural person, the person who registers the account or otherwise uses our Services must have the authority to bind the entity. In this context, “you” means both the entity and each person who is authorized to access the account.

We may update this Agreement by posting a revised version on our website. By continuing to use our Services, you accept any revised Agreement.

CONTENT: The content available to you will depend on your plan. We may change features from time to time. If you have a paid account, we commit to providing the core video streaming features of your plan during your current service period.

MONETIZATION: We may sell additional feature content behind the Subscription Paywall.

REGISTRATION: You may create an account to access the Live Stream plus additional features we offer (e.g., Video On-Demand). To do so, you must provide a valid email address. By creating an account, you agree to receive notices from MAG Streaming, LLC and MAG Entertainment, LLC t/a Cheerleaders New Jersey, at this email address.

AGE REQUIREMENT: You must be at least 18 years of age to create an account or otherwise use our Services.

PLAN TYPES: We offer Paid Subscriptions that allow you to access our content. Advertised prices and features are subject to change.

FEES: You must pay all fees (plus any taxes) during your subscription period and any renewal periods. Our fees may include a fixed monthly or annual fee plus variable fees for additional PPV transactions.

AUTOMATIC RENEWAL: To the extent permitted by applicable law, subscriptions automatically renew at the end of each subscription period unless cancelled beforehand. Monthly plans renew for 30-day periods. Annual plans renew for one-year periods. You must pay the annual or monthly fee (plus any taxes) when each renewal period starts. Unused storage, bandwidth, and other usage limits do not roll over.

INDEMNIFICATION:  You will indemnify, defend, and hold harmless MAG Streaming, LLC and its subsidiaries, parents, and affiliates, and their respective members, managers, directors, officers, employees, representatives, and agents, from and against all complaints, demands, claims, damages, losses, costs, liabilities, and expenses, including attorney’s fees, arising from or relating to allegations of actions or omissions by you that (regardless if proven) would constitute a breach of this Agreement.

TERM AND TERMINATION:  MAG Streaming, LLC may terminate this Agreement at any time by providing thirty (30) days’ written notice, and users may terminate at any time by deleting their accounts. If you breach this Agreement, MAG Streaming, LLC may, at its option: (a) terminate this Agreement immediately, with or without advance written notice; (b) suspend, delete, or limit access to your account or any content within it.

DISCLAIMERS:  MAG STREAMING, LLC PROVIDES THE SERVICES ON AN “AS IS” AND “AS AVAILABLE” BASIS. YOU USE THE SERVICES AT YOUR OWN RISK. You must provide your own device and internet access.

EXCEPT AS EXPRESSLY SET FORTH HEREIN, AND TO THE EXTENT PERMITTED BY APPLICABLE LAW, MAG STREAMING, LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Among other things, Mag Streaming, LLC makes no representations or warranties: That our Services, or any part thereof, will be available or permitted in your jurisdiction, uninterrupted or error-free, completely secure, or accessible from all devices or browsers; That we will continue to support any particular feature or maintain backwards compatibility with any third-party software or device; or Concerning any third-party websites or resources.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MAG STREAMING, LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE OR CONSEQUENTIAL DAMAGES OR LOST OR IMPUTED PROFITS OR ROYALTIES, LOST DATA OR COST OF PROCUREMENT OF SUBSTITUTE SERVICES ARISING FROM OR RELATED TO THE SERVICES OR PERFORMANCE OF ITS OBLIGATIONS HEREUNDER, WHETHER FOR, AMONG OTHER THINGS, BREACH OF WARRANTY OR ANY OBLIGATION ARISING THEREFROM, AND WHETHER LIABILITY IS ASSERTED IN CONTRACT OR TORT (INCLUDING NEGLIGENCE AND STRICT PRODUCT LIABILITY) IRRESPECTIVE OF WHETHER THE OTHER PARTY HAS ADVISED OR HAS BEEN ADVISED OF THE POSSIBILITY OF ANY SUCH LOSS OR DAMAGE. MAG STREAMING, LLC’S LIABILITY HEREUNDER SHALL IN NO EVENT EXCEED AN AMOUNT EQUAL TO THE MONTHLY RECURRING CHARGE PAID BY FOR THE PARTICULAR SERVICE.  ANY CLAIMS MUST BE BROUGHT WITHIN ONE YEAR OF THE APPLICABLE OCCURRENCE.  YOU HEREBY WAIVE ANY CLAIM THAT THESE EXCLUSIONS DEPRIVE YOU OF AN ADEQUATE REMEDY OR CAUSE THIS AGREEMENT TO FAIL OF ITS ESSENTIAL PURPOSE.

JURISDICTION:  This Agreement shall be governed by and construed in accordance with the laws of the State of New Jersey. All disputes arising hereunder shall be subject to the exclusive jurisdiction and venue of the courts of Camden County, New Jersey.

FORCE MAJEURE:  You shall not have any claim or right against MAG Streaming, LLC for any failure of or delay in performance if the failure or delay is caused by causes beyond the reasonable control of MAG Streaming, LLC, including, but not limited to, acts of God, fire, flood, hurricane, epidemic, or other natural catastrophe; terrorist actions, actions of governmental authorities; or any civil or military authority, national emergency, insurrection, riot or war; inability to obtain circuits or equipment, material or other supplies, or other similar occurrence.
